Pursuant to the provisions of the Financial Instruments Market Act (ZTFI) and the Rules and Regulations of the Ljubljana Stock Exchange (Ljubljanska borza, d.d.), Pivovarna Laško, d.d., Trubarjeva 28, Laško, hereby announces that it received on Tuesday, April 7, 2015, in the execution proceedings No. Ig 147/2011 instituted by the creditor Bank Asset Management Company (Družba za upravljanje terjatev bank, d.d.), Ljubljana (hereinafter: BAMC), against the debtor Pivovarna Laško, d.d., for the recovery of EUR 7,349,552.25, a final decision by the District Court of Celje by which the Court terminated the execution proceedings upon proposal by the creditor (BAMC).
The creditor BAMC filed the proposal to terminate the proceedings based on the executed Agreement on the Sale and Purchase of Shares of Radenska, d.d., Radenci, signed on January 8, 2015 by the company Pivovarna Laško, d.d., as the seller and the company Kofola, družba za upravljanje, d.o.o., as the buyer, pertaining to 345,304 shares with the code/symbol RARG, or 6.82% share of the company Radenska, d.d., which were confiscated or subject to execution proceedings by the BAMC. The purchase price for the shares, amounting to EUR 4,692,681.36 (EUR 13.59 per share) was paid to the BAMC on April 9, 2015, and the confiscated shares were transferred to Kofola on April 8, 2015.
By this execution proceedings, the Court allowed with the decision dated December 22, 2011, the confiscation of the pledged 345,304 RARG shares, for the recovery of the amount of EUR 7,349,552.25. The execution proceedings pertained to the deal or agreement on the pledge of dematerialized securities, signed on June 5, 2009, between the companies Nova KBM, d.d., Maribor, as the creditor, and the company Center naložbe, d.d., as the debtor and Pivovarna Laško, d.d., as the lienee of these shares for the insurance of a loan approved by the NKBM to the company Center naložbe. The agreement on the pledge of dematerialized securities was signed on behalf of Pivovarna Laško, d.d., by the then CEO Boško Šrot. On June 16, 2014, the Court allowed the admittance of a new creditor into the execution proceedings – BAMC became the new creditor in place of the original creditor Nova KMB, d.d., since the transfer of the original claim by cession also resulted in legal transfer of the lien from the original creditor to the new creditor.
